Terms and conditions

Please read these Terms and Conditions carefully before using the Prduct platform and services. By registering an account or otherwise accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. General

  • Entire agreement: These Terms (together with any applicable supplemental policies and agreements) constitute the entire agreement between you and Prduct regarding the Services.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
  • Language: These Terms are provided in English. In the event of any conflict between translated versions, the English version prevails.

References to “Prduct”, “we”, “us”, or “our” in these Terms refer to Prduct ApS.

3. Definitions

In these Terms, the following definitions apply:

  • “Platform” means the Prduct web application, APIs, and any related software or tools made available by us.
  • “Services” means all features, functionalities, and content made available through the Platform.
  • “Account” means a registered user account created to access the Services.
  • “User” means any individual who accesses or uses the Platform, whether as a visitor, free user, or paying customer.
  • “Customer” means a User who has subscribed to a paid plan.
  • “Content” means any data, text, files, or other materials submitted to or created through the Platform.
  • “Subscription” means a paid plan granting access to specific features of the Services.

4. Eligibility and Account Registration

To use the Services, you must:

  • Be at least 16 years of age;
  • Have the legal capacity to enter into a binding agreement;
  • Provide accurate and complete registration information; and
  • Keep your account credentials secure and confidential.

You are responsible for all activity that occurs under your Account. If you believe your Account has been compromised, you must notify us immediately at legal@prduct.com.

We reserve the right to refuse or terminate Accounts at our discretion, particularly where we believe misuse, fraud, or violation of these Terms has occurred.

 

5. Use of the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business or personal purposes.

You must not:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations;
  • Attempt to gain unauthorised access to any part of the Platform or its systems;
  • Use automated tools, scrapers, bots, or similar means to access or extract data from the Platform without our express written consent;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Upload or transmit malicious code, viruses, or any material that is harmful, offensive, or infringes any third-party rights;
  • Reverse engineer, decompile, or disassemble any aspect of the Platform; or
  • Resell, sublicence, or otherwise transfer access to the Services to any third party without our prior written consent.

6. Subscriptions, Fees and Payment

Certain features of the Platform are available on a paid subscription basis. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page at the time of purchase.

  • Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select).
  • Taxes: All prices are exclusive of any applicable taxes (including VAT). You are responsible for any taxes applicable to your use of the Services.
  • Price changes: We may change our subscription fees. We will give you at least 30 days’ notice before any price change takes effect. Your continued use of the Services after the price change constitutes acceptance of the new fees.
  • Refunds: Except where required by applicable law, subscription fees are non-refundable. If you cancel, you will retain access to the Services until the end of your current billing period.

Service level commitments specific to each subscription tier are set out in the applicable Service Level Agreement linked from your Account settings.

7. Free Tier

We may offer access to certain Services free of charge (the “Free Tier”). Use of the Free Tier is subject to these Terms and to the additional Free Tier Terms available at prduct.com/terms-of-use/free-tier-terms.

If you have been invited to access additional features by a paying Customer, those features are subject to the Connection Terms available at prduct.com/terms-of-use/connection-terms.

We reserve the right to modify, limit, or discontinue the Free Tier at any time without notice.

 

8. Your Content

You retain ownership of all Content you submit to the Platform. By uploading or submitting Content, you grant Prduct a worldwide, royalty-free, non-exclusive licence to host, store, transmit, and process your Content solely as necessary to provide the Services to you.

You are solely responsible for your Content. You warrant that:

  • You own or have the necessary rights to submit the Content;
  • Your Content does not violate any applicable laws, third-party rights, or these Terms; and
  • Your Content does not contain personal data of third parties unless you have a lawful basis to process and share such data.

We do not routinely review user Content but reserve the right to remove or disable Content that we reasonably believe violates these Terms.

9. Intellectual Property

All rights, title, and interest in and to the Platform, including all software, design, trademarks, logos, and documentation, are owned by or licensed to Prduct. Nothing in these Terms transfers any intellectual property rights to you.

You may not copy, modify, distribute, or create derivative works based on any part of the Platform without our express written permission.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services that is reasonably expected to be treated as confidential. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is independently developed without reference to the confidential information.

 

11. Privacy and Data Processing

Your use of the Services is also governed by our Privacy and Cookie Policy, which is incorporated into these Terms by reference. Where Prduct processes personal data on your behalf as a data processor, the terms of our Data Processing Agreement (prduct.com/data-processing-agreement) also apply.

 

12. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Prduct disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or free from harmful components. You use the Services at your own risk.

 

13. Limitation of Liability

To the fullest extent permitted by applicable law, Prduct shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the amounts you paid to us in the 12 months preceding the claim, or (b) EUR 100.

Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

14. Indemnification

You agree to indemnify, defend, and hold harmless Prduct and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

15. Termination

By you: You may terminate your Account at any time through your Account settings or by contacting us at legal@prduct.com. Termination of a paid subscription does not entitle you to a refund of any prepaid fees.

By us: We may suspend or terminate your access to the Services immediately, without prior notice, if we reasonably believe you have materially breached these Terms, or where required by law. We may also terminate or suspend free accounts that have been inactive for a prolonged period, with reasonable prior notice.

Effect of termination: Upon termination, your licence to use the Services ceases immediately. You may request export of your Content prior to termination. Following termination, we will delete or anonymise your data in accordance with our Privacy Policy and Data Processing Agreement.

 

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by displaying a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Services and may terminate your Account as described in Section 14.

 

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Denmark. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Aarhus, Denmark.

We will always try to resolve any dispute amicably first. If you have a complaint or concern, please contact us at legal@prduct.com before initiating formal proceedings.
